Introduction

Welcome to Project Zero. Project Zero is a "Service" provided by Nuant AG ("Project Zero ", "we”, "us", "Company"). These Terms of Use ("Terms") govern your access to and use of the Project Zero website, applications, and services (collectively, the "Service"). By accessing or using the Service, you ("you", "User") agree to be bound by these Terms and our Privacy Policy.

By clicking on the “Create Account” button or by visiting the Service, we may provide you and your authorised users with access and utility through our platform via software, API (application program interface), 3rd party integrations, technologies, products and/or functionalities. As described in these Terms, you agree to be legally bound by these Terms. If you do not agree to be bound by these Terms, do not access or use the Services.

Who are we

Project Zero is a blockchain data extraction and streaming platform that provides seamless access to both real-time and historical blockchain data. It efficiently retrieves and delivers transactional data to your preferred destination, ensuring uninterrupted streaming, even during chain reorganisations’.

Our mission is to empower Web3 products and services by removing the burden of infrastructure and blockchain data management. We envision a future where businesses can seamlessly focus on creating solutions to their core problems instead of the complexities involved in maintaining blockchain data operation infrastructure.

User Accounts

To access certain features of our Service, you may be required to create an account.

You represent that:

(i) You  are at least 18 years of age or older than the age of majority in the jurisdiction in which you reside, and are otherwise capable of entering into binding contracts, and

(i) you have the right, authority, and capacity to accept these Terms and to abide by these Terms, and that you will do so.

You will be required to submit certain personal information to create your account. Our collection, use, and retention of this information will be governed by our privacy notice. By using the Service and agreeing to these Terms, you agree that you have read and reviewed our Privacy Policy. You represent and warrant at all times that all information provided by you to us is true, accurate, and not misleading in any respect. If any such information changes, it is your obligation to provide the new information to us as soon as practicable following such change.

You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password.

Intellectual Property

You agree and acknowledge that we own all right, title and interest, to and in the Service, the associated software, work products, derivative works, technology tools and content, Project Zero’s website, any logos, identifying marks, images, illustrations, designs, icons, photographs, videos, text and other written and multimedia materials, the content displayed on the website, and other materials produced by and related to the Company (collectively, the "Company IP"). You acknowledge and agree that no proprietary rights are being transferred to you in such materials or information, and that you have no intention of using such materials or information inappropriately or to in any way harm the Company or any of its affiliates, directors, officers or employees. You shall not prepare any derivative work based on the Company IP, nor shall you translate, reverse engineer, decompile or disassemble the Company IP.

User Conduct

You agree that you will not , and you further agree that you shall not permit any Authorised User to (i) make the Service available to anyone else other than your authorised users ; (ii) sell, resell, rent, lease,  or otherwise commercially exploit the Service; (iii) upload or transmit and files, software or other material that infringes upon the intellectual property rights , privacy rights or publicity rights of any user, third party or entity; (iv) upload or transmit files, software , or other material that contain viruses, Trojan horses, malware, worms, time bombs, corrupted files, or any other similar software that may harm or damage the operation of another’s computer or the Service; or (v) interfere with or disrupt the integrity or performance of the Service, including but not limited to by uploading false, misleading, or otherwise inaccurate information.

You agree that you will not , and you further agree that you shall not permit any Authorised User  to (i) create derivative works based on Project Zero materials; (ii) copy, frame or mirror any part or content of Project Zero; (iii) reverse engineer, decompile, disassemble or otherwise attempt to obtain or perceive the source code from which any component of the Service is compiled or interpreted; (iv) access all or any part of the Service to build a competitive product or Service or to copy any features, functions or graphics of Project Zero ; (v) cause or permit any person or third party or any of its affiliates or its or their employees, directors, representatives or agents to do any of the foregoing; and/or (vi) use the Service  or any part of the Service in any way not specifically permitted under these Terms.

Termination

Project Zero may terminate your access to all or any part of the Service at any time, with or without cause, with or without notice, effective immediately.

Disclaimer of Warranties

The Service is provided on an "as is" and “as available” basis without warranty of any kind. Project Zero and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of, merchantability, fitness for a particular purpose and non-infringement or any other type of condition, warranty or guarantee.  Project Zero does not warrant Your use of the Services will be uninterrupted or error-free. and is not responsible for any delays, delivery failures, or any other loss or damage resulting from the transfer of data over communications networks and facilities, including the Internet.

SUSPENSION

Project Zero may (i) cease or suspend compiling, distributing, or offering any part of the Services, (ii) make changes in the titles, names, format, organisation, or content of the Services, and (iii) alter or discontinue any communications facilities or third-party providers that disseminate the Service.

Updates

Project Zero may from time to time in its sole discretion develop and provide updates to the Services, which may include upgrades, bug fixes, patches, other error corrections, and/or new features (collectively, including related Documentation, “Updates”). Updates may also modify or delete in their entirety certain features and functionality. You agree that Project Zero has no obligation to provide any Updates, to fix bugs or to continue to provide or enable any particular features or functionality.

User Responsibilities

You will be responsible for (i) meeting Project Zero’s applicable minimum system requirements for use of the Service; (ii) complying with these Terms; (iii) ensuring the accuracy, quality, integrity and legality of data provided to Project Zero; (iv) using commercially reasonable efforts to prevent unauthorised access to or use of the Service under your account, (v) taking reasonable steps to prevent unauthorised access to the Service, including, without limitation, by protecting passwords and other log-in information and notifying us promptly of any such unauthorised access or use or breach in your security and use your best efforts to stop said breach ; (vi) any network or internet connectivity required to access the Service; and (vii) using the Service only in accordance with these Terms, and any applicable documentation, (viii) using the Service only in accordance with any applicable laws and government regulations including laws relating to data privacy, international communications, and the transmission of technical or personal data. We may follow any instructions for your use of Project Zero provided that we reasonably believe such instructions are authorised by you.

Limitation of Liability

We are not liable to you for any errors that result in a financial loss to you. We may take any action authorised or permitted by these Terms without liability to you, even if such action causes you to incur fees, expenses, or damages. We are not responsible for delays or loss incurred as a result of an error in setting up or otherwise registering with Project Zero. No developer or entity involved in creating Project Zero will be liable for any claims or damages whatsoever associated with your use and or inability to use the Service including any direct, incidental, indirect, special, consequential or punitive damages, regardless of the nature of the claim, including, without limitation, lost profits, costs of delay, any failure of delivery, business interruption, costs of lost or damaged data or documentation or liabilities to third parties arising from any source cryptocurrencies, tokens, or anything else of value.

TO THE MAXIMUM EXTENT PERMITTED BY LAW,  PROJECT ZERO AND ITS SHAREHOLDERS, EMPLOYEES, AFFILIATES, LICENSORS, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR MULTIPLE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) THE CONDUCT OR CONTENT OF OTHER USERS OR THIRD PARTIES ON OR THROUGH THE SERVICE; (C) UNAUTHORISED ACCESS , USE, OR ALTERATION OF YOUR INFORMATION (D) ANY BUGS, VIRUSES, OR OTHER HARMFUL CODE THAT MAY BE TRANSMITTED TO OR THROUGH THE SERVICE; OR (E) ILLEGAL CONDUCT OF OTHERS;  EVEN IF YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE DATE OF THE ACTIVITY GIVING RISE TO THE CLAIM.

General Representation and Warranty

You represent and warrant that  your use of the Service will be in strict accordance with the Project Zero Privacy Policy, with these Terms, and with all applicable laws and regulations.

Governing Law

These Terms and any disputes arising out of or related to these Terms or the use of Project Zero shall be governed by and construed in accordance with Swiss law without giving effect to any choice or conflict of law provision or rules. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Zurich, Switzerland.

Modification

We may need to change these Terms at any time to keep pace with changes in our Website, products and Service, our business, for security and laws applicable to us and you. Project Zero therefore reserves the right, at its sole discretion, to modify or replace any part of these Terms. It is your responsibility to check these Terms periodically for changes. The most current version will always be posted on the Project Zero Website.
